These Terms of Service ("Terms") govern your access to and use of the Riffs platform, including any related software, tools, data, and services (collectively, the "Platform"), provided by Riffs Inc. ("Riffs," "we," "us," or "our"). By subscribing to or accessing the Platform, you ("Customer," "you," or "your") agree to be bound by these Terms.
Platform Access
Subject to these Terms and payment of applicable fees, Riffs grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Platform for your internal business purposes only. This license is personal to you and the entity you represent and may not be sublicensed, shared, or assigned to any third party without our prior written consent.
Account Credentials
You are responsible for maintaining the confidentiality of your login credentials and account access. You may not share, distribute, sell, or otherwise make your account credentials or Platform access available to any other person or entity. You are responsible for all activity that occurs under your account.
Prohibited Use
You agree not to:
- Share, resell, sublicense, or provide access to the Platform to any third party.
- Scrape, crawl, harvest, or use any automated means to extract data, content, or information from the Platform for any purpose.
- Copy, reproduce, redistribute, or create derivative works from any data, reports, classifications, or other outputs generated by the Platform.
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, algorithms, or underlying technology of the Platform.
- Use the Platform for any purpose that is unlawful or prohibited by these Terms.
- Attempt to gain unauthorized access to the Platform, other accounts, or any systems or networks connected to the Platform.
- Use the Platform in any manner that could damage, disable, overburden, or impair its operation.
Fees and Payment
You agree to pay all fees associated with your selected plan as described at the time of purchase. Fees are billed in advance and are non-refundable except as required by law. We reserve the right to modify pricing with reasonable notice. Continued use of the Platform after a pricing change constitutes acceptance of the new fees.
Intellectual Property
The Platform, including all software, algorithms, data models, interfaces, documentation, and branding, is and remains the exclusive property of Riffs. Nothing in these Terms transfers any ownership rights to you. All rights not expressly granted herein are reserved by Riffs.
Customer Data
You retain ownership of the data you upload to the Platform ("Customer Data"). You grant Riffs a limited license to use Customer Data solely to provide and improve the Platform services. We will not sell your data to third parties. Our handling of Customer Data is subject to our Privacy Policy.
Marketing and Publicity
By using the Platform, you grant Riffs the right to use your company name and logo as a reference for promotional and marketing purposes on our website and in other marketing materials. You may opt-out of this at any time by contacting us at support@tryriffs.com.
Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the use of the Platform. This includes, without limitation, pricing terms, platform features not publicly available, and any data exchanged between the parties.
Disclaimer of Warranties
The Platform is provided "as is" and "as available." Riffs makes no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Riffs does not warrant that the Platform will be uninterrupted, error-free, or that any data, classifications, or outputs will be accurate or complete.
The Platform provides tools to support customs and tariff compliance but does not constitute legal, regulatory, or professional advice. You are solely responsible for your compliance decisions.
Limitation of Liability
To the maximum extent permitted by law, Riffs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform, regardless of the theory of liability. Our total liability for any claims arising under these Terms shall not exceed the fees paid by you in the twelve (12) months preceding the claim.
Termination
Either party may terminate the subscription at any time. Riffs reserves the right to suspend or terminate your access immediately if you breach these Terms, including any unauthorized sharing of access or scraping of Platform data. Upon termination, your right to access the Platform ceases immediately.
Modifications
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms at this URL or through the Platform. Your continued use of the Platform after such changes constitutes acceptance of the revised Terms.
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in New York, New York.
